Terms of Service

DRAFT - pending attorney review. Prepared from standard templates by an AI assistant on 2026-10-16. Not legal advice and not yet in effect.

1. Who we are

Problem Solved HQ is a sole proprietorship of Anthony James Rivera ("we"). These terms govern use of our website, assessments, proposals and products.

2. Assessments and proposals

Free assessments are informational. A project begins only when you accept a written fixed-scope proposal and pay any stated deposit. The proposal (scope, deliverables, exclusions, price, milestones, acceptance tests) controls if it conflicts with these terms.

2a. Scope, revisions and change requests

Before any build starts, you approve and sign a written fixed-scope specification ("spec") listing the deliverables, acceptance criteria, data inputs you will provide, and what is out of scope. Each build includes two (2) revision rounds; a revision round is one consolidated batch of adjustments to delivered work that stays within the signed spec. Anything outside the signed spec, or beyond the included revision rounds, is a change request: we will describe it and quote it in writing, and no change-request work starts until you approve that quote. For complex work we may require a paid Discovery engagement to produce the spec; its fee is credited toward the build if you proceed.

3. Payment

Payments are processed by Stripe. Fixed-scope work is typically billed as deposit, milestone and final payment; hosted products are billed monthly or annually and renew until cancelled. Prices exclude applicable taxes.

4. Acceptance and refunds

You have the acceptance period stated in the proposal (default 14 days) to report failures against the acceptance tests; we will fix them. Deposits for work not started are refundable. Subscription cancellations take effect at the end of the paid period. [REFUND POLICY DETAILS - TO BE CONFIRMED]

5. Your data

You keep ownership of your data and confirm you have the right to share it with us. We process it only to provide the services, per our Privacy Policy.

6. Intellectual property

We keep ownership of our reusable modules, templates and know-how. Unless the proposal says otherwise, you receive a non-exclusive, non-transferable license to use the delivered product for your business for as long as you are paid up. Custom code ownership, if any, is stated in the proposal.

7. Acceptable use

Do not misuse the services, attempt to access other customers' data, or upload malicious files or data you have no right to share.

8. No professional advice

Our tools do not provide legal, safety, chemical-application, labor-compliance or regulated recordkeeping advice. Scheduling outputs are drafts for your review; distances may be approximate unless stated otherwise.

9. Warranties and liability

Except as stated in a proposal, services are provided "as is". To the maximum extent permitted by law, our total liability is limited to the amounts you paid us in the 12 months before the claim, and we are not liable for indirect or consequential damages.

10. Termination

Either party may stop an engagement per the proposal. On termination you may export your data for 30 days.
